Terms of Service
These Terms of Service (“Terms”) are an agreement between you and SoulSphere, Inc., a Delaware corporation (“SoulSphere,” “we,” “us,” or “our”). They govern your use of the SoulSphere mobile application, website, AI-guided experiences, and related services (together, the “Service”).
1. Your agreement with us
By creating an account, clicking to accept, accessing the Service, or purchasing a paid feature, you agree to these Terms and our Safety & Community Standards (“Safety Standards”). Our Privacy Policy and Your Data & Consumer Health Data Privacy Notice (“Your Data”) explain how we handle personal information and the choices available to you.
If you do not agree, do not use the Service.
Additional terms shown when you purchase or use a particular feature also apply to that feature. If additional terms conflict with these Terms, the additional terms control only for that feature.
2. Who may use SoulSphere
You may use SoulSphere only if:
- you are at least 18 years old;
- you can enter into a legally binding agreement;
- you are located in the United States;
- you are using the Service personally, not on behalf of another person;
- you have not previously been removed from SoulSphere unless we gave you written permission to return; and
- your use is not prohibited by law.
You must provide accurate, current, and authentic account information. You may maintain only one personal account, may not share or transfer it, and are responsible for protecting your login credentials. Tell us promptly at support@soulsphere.ai if you believe your account has been compromised.
3. What SoulSphere does
SoulSphere is designed to help adults form romantic, friendship, activity, creative, and other consensual human connections. Depending on the features available to you, the Service may:
- guide you through a private conversation;
- accumulate, process, and summarize the data you personally share;
- create a profile or summary for you to review;
- identify and rank potential connections;
- explain high-level reasons for an introduction;
- allow you to express interest, match, and communicate; and
- offer optional prompts or support.
SoulSphere does not promise that you will receive a particular number of introductions, that another member is compatible with you, or that any interaction will lead to a meeting, friendship, partnership, relationship, or other outcome. Labels such as “alignment,” “compatibility,” or “highest match” are estimates produced from limited information, not objective facts or guarantees.
We may add, change, limit, suspend, or discontinue features. Availability may vary by account, device, location, or subscription.
4. AI-generated information and recommendations
SoulSphere uses automated systems, including artificial intelligence, to interpret information and generate summaries, profiles, recommendations, rankings, prompts, and explanations.
Automated output can be inaccurate, incomplete, outdated, biased, or inappropriate. It may misunderstand what you say, omit context, or infer something that is not true. You are responsible for reviewing and correcting your profile and for deciding whether, when, and how to interact with another person.
SoulSphere is not a therapist, healthcare provider, background investigator, emergency service, lawyer, or professional matchmaker. The Service does not provide medical, mental-health, legal, financial, or personal-safety advice. In an emergency, call 911. In a mental-health crisis, call or text 988.
5. Community rules
You must follow the Safety Standards and the law. You may not use SoulSphere to:
- impersonate another person, misstate your age or identity, create a deceptive profile, or use another person’s account;
- upload images of anyone under 18 or identifying or private information about a minor;
- create, possess, solicit, distribute, or facilitate child sexual abuse or exploitation material, grooming, sextortion, or trafficking;
- harass, bully, stalk, threaten, intimidate, shame, exploit, or repeatedly contact someone who has asked you to stop;
- promote hatred or violence against a person or group based on a protected characteristic;
- engage in or facilitate sexual violence, nonconsensual conduct, coercion, or disregard for another person’s boundaries;
- send unsolicited sexual content or upload nudity, pornography, nonconsensual intimate imagery, or deceptive intimate images, including sexual deepfakes;
- request money, gift cards, financial credentials, investments, cryptocurrency, or other transfers from another member;
- promote scams, fraud, commercial solicitation, transactional sex, trafficking, weapons, illegal drugs, or other illegal activity;
- disclose another person’s private information without permission;
- infringe intellectual-property, privacy, publicity, or other rights;
- send spam, operate bots, scrape or harvest data, reverse engineer the Service, bypass safeguards, test vulnerabilities without permission, or interfere with the Service;
- evade a restriction or ban; or
- submit knowingly false, retaliatory, discriminatory, or abusive reports.
We may consider conduct outside SoulSphere when it is connected to a SoulSphere interaction or reasonably indicates a serious risk to members or the Service.
6. Your content
“Your Content” means information or material you submit to the Service, including profile details, photos, audio, guided-conversation content, messages, reports, and feedback.
You retain ownership of Your Content. You represent that you have the rights and permissions needed to submit it and that our permitted use of it will not violate anyone else’s rights.
To operate the Service, you grant SoulSphere a worldwide, nonexclusive, royalty-free license, with the right to sublicense to service providers acting for us, to host, store, reproduce, format, transmit, display, analyze, moderate, and otherwise process Your Content:
- to provide the features you request;
- to create summaries, representations, embeddings, inferences, rankings, recommendations, and match explanations, subject to your choices and any consent required by law;
- to display information to other members when you direct us to do so;
- to provide support, enforce these Terms, protect safety, prevent fraud, and comply with law; and
- to evaluate and improve SoulSphere using deidentified or aggregated information, explicit feedback, reported content, or content you separately authorize.
This license lasts while needed to provide the Service and for the limited retention periods described in our Privacy Policy and Your Data. It does not give us permission to use your name, likeness, private conversation, or profile in advertising or public marketing without separate permission.
Your raw guided conversation is not displayed to potential matches. Other members may see information you choose for your profile and high-level match reasons generated under your settings. A message is visible to its recipient, and recipients may save, copy, or capture it. We cannot control copies made outside the Service.
You may delete content through available controls. Deletion is subject to content already delivered to another member, technical backup periods, legal obligations, safety investigations, and state-specific rights described in our policies.
If you send ideas or feedback, you permit us to use them without restriction or compensation, but we will not publicly identify you without permission.
7. Privacy and data use
Our Privacy Policy and Your Data explain what we collect, why we use it, who may receive it, how long we retain it, and how to exercise your rights.
We do not sell personal information or consumer health data. We do not use personal information for third-party targeted advertising. We disclose information only as described in those notices, including:
- to other members when you choose to make information visible or communicate;
- to contracted providers that process information for us under instructions and confidentiality restrictions;
- for safety, fraud prevention, legal compliance, or protection of rights; and
- as otherwise directed or separately authorized by you.
Before collecting sensitive or intimate information through the guided conversation, we may present a separate consent request. Declining or withdrawing that consent may limit features that depend on the information.
New York members. Your electronic acceptance of these Terms constitutes your prior written consent for the limited disclosures described above and in our Privacy Policy and Your Data: disclosures to processors acting on our instructions, disclosures to other members that you direct through the Service, and disclosures required for safety or law. We will not otherwise sell, assign, or transfer personal or private materials without separate written consent.
8. Safety and member interactions
SOULSPHERE DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS ON EACH MEMBER BEFORE PERMITTING MEMBERS TO COMMUNICATE.
An email, phone, age, selfie, identity, or other verification—if offered—is not a criminal background check and does not guarantee that a person is who they claim to be, has no criminal history, or is safe.
SoulSphere does not endorse or vouch for members. You are responsible for your communications, meetings, and decisions. Use caution, protect identifying and financial information, meet in public, arrange your own transportation, tell someone you trust where you are going, and leave any situation that feels unsafe.
Use the in-app tools to block or report a member. We may review reports, restrict accounts, preserve evidence where lawful, notify affected members, and contact authorities when appropriate or required. We may be unable to disclose the details of an investigation when doing so could affect another person’s safety, privacy, or legal rights.
SoulSphere is not a party to agreements or interactions between members and is not responsible for a member’s conduct. Nothing in these Terms limits obligations or liability that cannot legally be limited.
9. Paid services and automatic renewal
Some features may require payment. Before purchase, we will show the price, billing period, taxes where applicable, and any material conditions.
If you purchase a subscription, it will automatically renew for the period shown at purchase until canceled. You authorize the applicable payment provider to charge the payment method on file at the then-current price, plus applicable taxes, at each renewal.
You can cancel:
- a subscription purchased directly from SoulSphere through the billing settings or method shown in your receipt;
- an Apple subscription through your Apple account; and
- a Google Play subscription through your Google Play account.
Cancel before the renewal deadline shown by the payment provider to avoid the next charge. Deleting the app does not cancel a subscription. Deleting your SoulSphere account will stop future direct SoulSphere billing, but you must separately cancel a subscription administered by Apple, Google, or another external provider.
Except where law requires otherwise, payments are nonrefundable and we do not provide credits for a partially used billing period. App-store refund requests are controlled by the applicable store. We may change prices for future billing periods after giving notice required by law.
If we offer one-time digital features or credits, they have no cash value, are nontransferable, and are refundable only where required by law or expressly stated at purchase.
State-specific cancellation and refund rights appear in Section 18.
10. Pausing, deleting, suspension, and termination
You may pause or hide your profile where the feature is available. You may delete your account through the app or our public account-deletion page.
We may remove content, restrict features, suspend, or terminate an account when we reasonably believe that:
- these Terms or the Safety Standards were violated;
- the account creates a safety, fraud, legal, or security risk;
- we must act to comply with law or an app-store requirement;
- payment is overdue; or
- continued access could harm SoulSphere, another member, or a third party.
Serious or urgent risks may result in immediate action. Less serious issues may result in a warning or an opportunity to correct content. You may appeal through the method described in the Safety Standards. We may decline to restore an account and may limit the information given about an action to protect safety, privacy, investigations, and legal rights.
Termination does not automatically entitle you to a refund, except where law requires one. Sections that by their nature should survive—including sections concerning content already processed, intellectual property, disclaimers, liability, indemnity, disputes, and general terms—survive termination.
11. SoulSphere’s rights
SoulSphere and its licensors own the Service, including its software, models, algorithms, matching systems, interfaces, visual design, trademarks, and other technology and materials, excluding Your Content.
Subject to these Terms, we give you a personal, limited, revocable, nonexclusive, nontransferable license to use the Service for its intended purpose. You may not copy, sell, sublicense, modify, distribute, create competing datasets from, or commercially exploit the Service without written permission.
No rights are granted except those expressly stated.
12. Copyright complaints
We respect intellectual-property rights and may terminate repeat infringers.
To report copyright infringement, send a written notice to our designated copyright agent:
Designated Agent: Pavlos Sakoglou Email: support@soulsphere.ai Address: 224 8th Ave, 12A, New York, NY 10011 Phone: +1 929-422-2321
The notice must contain:
- your physical or electronic signature;
- identification of the copyrighted work;
- identification and location of the allegedly infringing material;
- your contact information;
- a good-faith statement that the use is not authorized; and
- a statement, under penalty of perjury, that the notice is accurate and you are authorized to act.
A person whose material was removed may submit a legally valid counter-notice. We may forward notices and counter-notices to the affected person and restore material when the law permits.
13. Third-party services and app stores
The Service may depend on or link to third-party services, including app stores, payment providers, authentication providers, maps, communications systems, and AI or cloud providers. Their own terms may apply to your direct relationship with them.
We are not responsible for third-party products or websites that we do not control. Our use of service providers to process personal information is governed by our Privacy Policy and contractual restrictions.
Apple, Google, and other distribution platforms are not responsible for SoulSphere, except to the extent their own terms state otherwise. Where required by an app store, that store and its affiliates are third-party beneficiaries of the provisions applicable to the distributed app.
14. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” SOULSPHERE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACCURATE; THAT AI OUTPUT OR MATCH RECOMMENDATIONS WILL BE CORRECT; THAT ANY MEMBER IS AUTHENTIC, COMPATIBLE, OR SAFE; OR THAT YOU WILL ACHIEVE A PARTICULAR RESULT.
Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SOULSPHERE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM THE SERVICE OR MEMBER INTERACTIONS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID SOULSPHERE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply where prohibited by law and do not limit liability that cannot legally be excluded, including liability for our fraud, willful misconduct, or gross negligence where applicable.
16. Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless SoulSphere and its officers, directors, employees, affiliates, and agents from third-party claims, losses, liabilities, and reasonable legal expenses arising from:
- Your Content;
- your conduct on or connected to the Service;
- your violation of these Terms, the Safety Standards, law, or another person’s rights; or
- your fraud or willful misconduct.
We may control the defense of a covered claim, and you will reasonably cooperate. This section does not require indemnification for SoulSphere’s own unlawful conduct and does not apply where prohibited.
17. Dispute resolution, arbitration, and class waiver
Please read this section carefully. It affects your right to go to court.
17.1 Informal resolution first
Before filing a claim, you and SoulSphere agree to try to resolve it informally for 60 days. Send a written notice to support@soulsphere.ai and 224 8th Ave, 12A, New York, NY 10011 with your name, account email or phone number, a description of the dispute, and the relief requested. We will send any notice to the contact information associated with your account.
Either party may seek temporary relief when necessary to prevent immediate harm.
17.2 Individual arbitration
Except for the matters listed below, any dispute arising from or relating to these Terms or the Service will be resolved by binding individual arbitration administered by National Arbitration and Mediation (“NAM”) under its applicable consumer rules. The Federal Arbitration Act governs this section.
The arbitrator may award the same individual relief a court could award. The arbitration may take place by video, telephone, written submissions, or an in-person hearing as the rules and arbitrator allow. Fees will be allocated under NAM’s rules and applicable law.
17.3 Exceptions
Either party may:
- bring an eligible individual claim in small-claims court;
- seek relief for intellectual-property infringement or misuse;
- seek public injunctive relief in court where applicable law requires; or
- bring a claim that federal law permits a person to choose to bring in court, including qualifying sexual-assault or sexual-harassment claims.
17.4 No class or representative proceedings
YOU AND SOULSPHERE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both sides agree, an arbitrator may not combine different people’s claims.
17.5 Jury-trial waiver
For disputes that are arbitrated, you and SoulSphere waive the right to a jury trial. For any dispute properly resolved in court, any jury waiver applies only to the extent permitted by law.
17.6 Opting out
You may opt out of arbitration by emailing support@soulsphere.ai within 30 days after first accepting these Terms. Use the subject “Arbitration Opt-Out” and include your full name and the email address or phone number associated with your account. Opting out will not affect your access to SoulSphere or any other part of these Terms.
17.7 Court venue
Any dispute not subject to arbitration or small-claims court will be governed by New York law, without regard to conflict-of-law principles, and brought in the state or federal courts located in New York County, New York, unless applicable law requires another forum.
18. Special state subscription rights
Nothing in these Terms limits rights that cannot be waived.
18.1 Three-business-day cancellation; death or disability
Subscribers residing in Arizona, California, Colorado, Connecticut, Illinois, Iowa, Minnesota, New York, North Carolina, Ohio, Rhode Island, or Wisconsin may cancel a subscription without penalty or obligation before midnight of the third business day after subscribing.
If a subscriber in one of those states dies before the end of a prepaid subscription period, the subscriber’s estate may request a refund allocable to the period after death. If the subscriber becomes disabled and cannot use the Service before the period ends, the subscriber may request a refund allocable to the period after disability.
Send a direct-billing request to support@soulsphere.ai with the account identifier and order number. For an app-store purchase, submit the request through the applicable store.
18.2 New York purchasers
For New York purchasers:
- SoulSphere presents possible matches but does not guarantee any particular number of introductions.
- If SoulSphere provides no introduction for two successive months, you may cancel and receive the refund required by New York law, less the permitted cancellation fee. The cancellation fee will be the greater of 15% of the cash price or a pro rata amount based on introductions provided.
- You may place a paid membership on hold for up to one year by sending written notice to support@soulsphere.ai.
- SoulSphere is generally available throughout the United States. If you move outside the supported service area during a prepaid term, contact us and we will apply any remedy required by law.
- At each qualifying sale or renewal, we will provide a separate, conspicuous New York Dating Service Consumer Bill of Rights and Notice of Cancellation.
- When paid services end, we will delete personal and private materials and provide any certification required by New York law, except information that law or a court order requires us to retain.
- The limited written consent for disclosures in Section 7 applies. We will not otherwise sell, assign, or transfer your personal or private materials without separate written consent.
18.3 California complaints
California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at Consumer Information Division, 1625 North Market Boulevard, Suite N 112, Sacramento, California 95834, or by telephone at 800-952-5210.
19. Changes and general terms
We may update these Terms. If a change is material, we will provide reasonable advance notice through the Service, email, or another appropriate method. The notice will state when the change takes effect. Continuing to use the Service after that date means you accept the updated Terms, except where law requires renewed consent.
You may not assign these Terms or transfer your account. We may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or by operation of law, provided the successor remains responsible for the obligations that apply to it.
If a provision is unenforceable, it will be enforced to the greatest lawful extent and the rest will remain effective. Our failure to enforce a provision is not a waiver. These Terms, the Safety Standards, and applicable purchase terms are the entire agreement concerning the Service. They do not create an agency, employment, fiduciary, partnership, or joint-venture relationship.
Electronic notices satisfy writing requirements to the extent permitted by law.
